1. Introduction & Acceptance

These Terms & Conditions ("Terms") form a binding agreement between you (an authorized user acting on behalf of a client organization) and Growth Amazon ("we," "our," or "us") governing your access to and use of our e-commerce analytics dashboard (the "Service"). By logging in to the dashboard, connecting a marketplace or advertising account, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility & Accounts

• The Service is intended for business use by authorized representatives of a client organization and is not directed at, or intended for use by, individuals under 18.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us promptly of any unauthorized use of your account or any other suspected security incident.

3. Workspaces & Authorized Users

• Use of the platform is restricted to authorized users under your organization's assigned workspace or client account.
• Each workspace's connected data, reports, and dashboards remain subject to the access permissions configured for your organization; cross-workspace access is not permitted.
• Your organization is responsible for managing which individuals are granted access to its workspace and for promptly revoking access when no longer appropriate (e.g. when an employee leaves).

4. Connected Marketplace & Ad Integrations

The Service allows you to connect third-party marketplace and advertising accounts — including Amazon Seller Central, Amazon Vendor Central, Amazon Advertising, Google Ads, Google Analytics (GA4), Google Search Console, and Noon — using API credentials or OAuth authorization that you provide. By connecting an account, you represent that you are authorized to grant us access to that account's data for the purpose of generating reports and dashboards. You may disconnect any integration, or revoke the underlying credentials, at any time.

We are not responsible for the accuracy, completeness, or availability of data provided by third-party platforms, or for any changes those platforms make to their APIs that may affect the Service.

5. Acceptable Use

You agree not to:

• Access or attempt to access data outside your assigned workspace, or attempt to bypass any access control.
• Use the Service to store or process data you are not authorized to access, including another party's marketplace or advertising account credentials.
• Reverse-engineer, decompile, scrape, or attempt to extract the underlying source code or infrastructure of the Service.
• Use the Service in a way that violates applicable law, or the terms of service of any connected third-party platform (e.g. Amazon, Google, Noon).
• Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests.

6. Service Availability & Data Accuracy

We aim to keep the Service available and reports up to date, but service availability may vary depending on the processing times, rate limits, or downtime of external data sources (e.g. Amazon SP-API, Amazon Ads, Google Ads, GA4, Search Console, Noon). Reports may reflect cached or progressively refreshed data rather than real-time figures. We do not guarantee uninterrupted access to the Service or that all connected data will always be fully synchronized.

7. Fees & Billing

Where the Service is offered on a paid subscription basis, fees, billing cycles, and payment terms will be set out in your order form, invoice, or account settings. Unless otherwise agreed in writing, fees are non-refundable except as required by applicable law. We may suspend access to the Service for accounts with overdue payments after reasonable notice.

8. Intellectual Property

The Service, including its software, design, dashboards, and underlying technology, is owned by Growth Amazon or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service — only a limited, non-exclusive, non-transferable right to use it for your internal business purposes during the term of your subscription.

9. Confidentiality & Data Ownership

As between you and us, your business data (including sales, inventory, advertising, and performance data retrieved from your connected accounts) remains your property. We will use this data solely to provide the Service, as described in our Privacy Policy, and will treat it as confidential.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that any data displayed will be fully accurate or complete at all times, given its dependence on third-party marketplace and advertising platforms.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Growth Amazon and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold Growth Amazon harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your breach of these Terms, or your violation of any third-party rights, including the terms of service of any connected marketplace or advertising platform.

13. Suspension & Termination

We may suspend or terminate your access to the Service, in whole or in part, if we reasonably believe you have violated these Terms, misused connected integrations, or posed a security risk to other clients' data. You may stop using the Service and disconnect your integrations at any time. Upon termination, your right to access the Service will cease, and we may delete or anonymize your account data in accordance with our Privacy Policy.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of [insert governing jurisdiction], without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service will first be addressed through good faith negotiation between the parties, and if unresolved, will be subject to the exclusive jurisdiction of the courts of [insert jurisdiction], unless applicable law requires otherwise.

We may update these Terms from time to time to reflect changes in our Service, integrations, or legal requirements. Material changes will be communicated to active users via the dashboard or email, and the "Last updated" date at the top of this page will be revised. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
